BUSINESS OWNERSHIP & TRANSACTIONS

Start. Buy. Sell. With a clear plan.

Starting a business, bringing in a partner, buying, selling, or planning an exit? TruLegal helps Minnesota business owners work through the terms, responsibilities, and documents behind the decision.

BEFORE OWNERSHIP CHANGES

What comes with ownership?

Decision-making power, financial obligations, and existing commitments deserve attention alongside the price or ownership percentage.

HOW CAN WE HELP

Support for each ownership decision.

Starting a business

Entity formation and operating agreements that address ownership, contributions, decision-making, and responsibilities.

Buying or selling a business

Letters of intent, purchase agreements, due diligence questions, and the documents and approvals needed to move the deal forward.

Partner changes & buyouts

Arrangements for an owner joining or leaving, a transfer of ownership, or a planned business exit.

THE TRULEGAL APPROACH

Make the pieces fit together

Clarify what each person contributes or what the buyer takes on, and how the documents describe it.

Money, assets & obligations

The operating agreement, purchase terms, lease, and required approvals can affect one another. We consider those connections within the agreed scope.

Control & responsibilities

Address who can make decisions, how money is distributed, and what each owner is expected to do.

Change & exit

Work through an owner leaving, a transfer of ownership, or a disagreement while there is still time to agree on the terms.

BEFORE YOU BEGIN

A few practical questions.

When should I involve a lawyer?

Ideally, before key terms are agreed or documents are signed. If things are already underway, tell us where they stand and any deadline.

Can you review our operating agreement?

Yes. Tell us what has changed or what you are concerned the agreement does not address. We review your request before asking for documents.

Can you review a purchase and its lease?

Yes. If the deal involves business premises, tell us about the lease as well as the purchase. We can discuss reviewing them together.

Planning who will take over in the future?

REQUEST LEGAL HELP

Tell us about your plans.

Identify the business, the people involved, where things stand, and any deadline. We review your request before arranging a consultation or asking for documents.

Fees are determined after reviewing your request. Scope and fees are agreed on before work begins
